Bray Power Inc. – General Terms of Service

These Terms of Service (“Terms”) govern all electrical services, installations, repairs, consultations, and related activities (“Services”) provided by Bray Power Inc., an Ontario corporation ("Company," "we," or "us"), to clients ("Client" or "you"). By booking or accepting our services, you agree to the following terms and conditions:
1. Scope of Work
All Services will be provided as outlined in a written estimate or work order. Any changes to scope, materials, or schedule must be agreed upon in writing by both parties. Bray Power Inc. reserves the right to subcontract portions of the work to qualified professionals, as necessary, without notice, while maintaining responsibility for overall project quality and safety.
2. Licensing and Compliance
Bray Power Inc. is a licensed electrical contractor under the Electrical Safety Authority (ESA) in Ontario. All work is completed in accordance with the Ontario Electrical Safety Code (OESC), applicable municipal codes, and professional standards.
3. Permits and Inspections
Where required, electrical permits will be obtained by Bray Power Inc. prior to commencement of work. Inspections by the ESA or local authority may be necessary. The Client agrees to provide reasonable access to the site for such inspections.
4. Payment Terms
Unless otherwise agreed in writing, payment is due upon completion of services. Quotes are valid for 30 days unless otherwise stated. Overdue payments may be subject to interest at 2% per month (24% annually). Bray Power Inc. reserves the right to stop work or withhold completion documents until payment is received in full.
5. Warranties and Limitations
Bray Power Inc. provides a 1-year workmanship warranty on completed electrical installations. Manufacturer warranties apply to equipment and materials, where applicable. No warranty applies to:
Client-supplied or third-party materials
Work modified by others after completion
Pre-existing deficiencies or code violations
Limit of Liability: In no event shall Bray Power Inc. be liable for indirect, incidental, or consequential damages.
6. Client Responsibilities
The Client agrees to:
Provide clear access to all work areas
Ensure the workspace is free of hazards or obstructions
Inform Bray Power Inc. of any known electrical issues or site risks
Disclose any hazardous materials or conditions (e.g., asbestos, mold, rodents) present on site. Work will be suspended until such issues are remediated by the Client at their expense.
Bray Power Inc. is not responsible for concealed or pre-existing conditions, including hidden wiring faults, environmental hazards, or structural deficiencies.
7. Delays and Force Majeure
Bray Power Inc. shall not be held liable for delays due to weather, supply chain interruptions, labour shortages, permit issues, inspection delays, or events beyond its control. Work timelines are estimates only and subject to change.
8. Termination
Either party may terminate the agreement with reasonable written notice. If terminated by the Client after work has begun, the Client is responsible for payment of completed work, materials procured, and any applicable restocking or cancellation fees.
9. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through direct communication. Failing that, any legal disputes shall be governed by the laws of the Province of Ontario and resolved in the courts located nearest to Meaford, Ontario.
10. Digital Communications and Approvals
Quotations, approvals, and change orders confirmed via email or text message shall be considered legally binding. These communications form part of the contractual agreement.
11. General Legal Protections
Bray Power Inc. is a federally registered corporation in Ontario. The Client agrees not to hold the directors, employees, or subcontractors personally liable for any claims arising from services performed under this agreement. The Client also agrees to indemnify and hold harmless Bray Power Inc., its employees, officers, and subcontractors from any claims, damages, or liabilities resulting from misuse, tampering, or unauthorized modifications of installed systems.
Bray Power Inc. is not responsible for failures, damage, or issues arising from the installation of client-supplied equipment or materials. Use of such items is at the Client’s own risk.
Clients grant Bray Power Inc. permission to document completed work with photographs for quality assurance, inspection records, and marketing purposes. No personally identifying details will be disclosed without consent.
2025 Promotional Offers:
Bray Power Inc. offers a limited-time promotional discount of $150 off the first service for new clients with a minimum project value of $1000 before tax. Returning clients are eligible for a 5% loyalty discount on future work, and referred clients also receive 5% off their first invoice. The 5% discount is capped at a maximum of $500 per invoice.
Home & Cottage Expo Offer: An additional $50 discount will be applied to eligible contracts when the official Bray Power Expo card is presented at the time of booking or contract signing. This discount cannot be combined with any other Bray Power promotional card offers.
All promotional discounts must be applied at the time of contract signing or job approval and cannot be retroactively applied. Discounts have no cash value, are non-transferable, and cannot be exchanged for other services or redeemed independently.
